TITLE: Corporate Governance Manager RESPONSIBILITIES: Manage the quarterly certification process regarding the completeness and accuracy of specified reports filed under the 1934 Act of the Securities and Exchange Commission as required by the Sarbanes-Oxley Act of 2002. Within 90 days of each periodic filing, prepare a report as to the effectiveness of the disclosure controls and procedures. Additionally, on an annual basis, manage the assessment process of establishing and maintaining an adequate internal control structure and procedures over financial reporting (Section 404) as to the effectiveness of the internal control structure and procedures. Manage process to document all internal controls and procedures over financial reporting. Identify gaps in internal controls and track remediation efforts to correct or mitigate gaps. TITLE: External Reporting Manager RESPONSIBILITIES: Manage preparation of all SEC reporting associated with periodic filings (Forms 10-Qs and Form 10-Ks) in accordance with SEC rules and regulations.
